Re: Addendum to Athena Electronics Agreement

Dear Mr. Boulerne,
This letter is to confirm Maury Microwave Corporation's position relative to patents which you own or
have applied for prior to your start date at our company and are described in eEhibit D of the above
subject agreement (copy attached).
Should Maury Microwave Corporation desire to adopt or incorporate your patented technology then
Maury Microwave Corporation will negotiate with you, in good faith, to arrive at a mutually agreeable
royalty payable to you in U.S dollars to compensate you for the use of the technology.
We recognize, while you are now employed by the company, we do not have the right to your
patented technology which was developed prior to becoming employed by MAURY Microwave
Corporation.
We hope this agreement is acceptable and lead to mutually beneficial use of your patented
technology.
